Why does Google buy GIPS VoIP engine?

A few hours ago, an official press release was published c announcing the acquisition of Google - it will be the Norwegian company Global IP Solutions (GIPS), which develops software for video conferencing and IP telephony and has more than 20 patents in this area .

GIPS is based on Yahoo Messenger, Cisco WebEx, and Lotus Sametime. GIPS technologies are used by mobile phone manufacturers LG, Samsung and others to improve voice quality. Here are demos of various designs created by Global IP Solutions.

Options like Google can use new assets include more active work on a normal alternative to Skype ( six months ago, they bought Gizmo5), creating the best video conferencing system on the market, and improving the video chat for Android (GIPS released the first video chat for Android in April).

The deal will be worth $ 68.2 million. Global IP Solutions is a fairly large company, its shares are listed on the local stock exchange, and Google's offer is 27.5% higher than the current market value of Global IP Solutions. On the other hand, the proposal of Google by 142% exceeds the cost of the GIPS at the time of the start of negotiations on the purchase in January of this year.

In fairness, you need to add that the purchase of Global IP Solutions has not yet become a fait accompli. To complete the transaction, 90% of the owners of the shares need to be approved, and today the company’s management and 50% of the security holders have approved the purchase. Offer expires on July 4th, 2010.
