Oracle Announces Acquisition Agreement for Sun Microsystems

On April 20, Oracle announced that it had entered into an agreement to acquire Sun Microsystems (Sun). The proposed transaction is subject to approval by Sun shareholders, some regulatory issues and the usual final terms of the transaction. Until the closing of the transaction, each company will continue to operate independently, as usual.
The acquisition combines best-in-class enterprise software and mission-critical computing systems. Oracle plans to develop and deliver a complete integrated software system, where all the elements are arranged to work together so that customers do not have to do it themselves. In addition, it will be beneficial to customers due to higher system integration and increased performance, reliability and security.

Oracle and Sun Microsystems on April 20 signed a final agreement under which Oracle will acquire Sun at $ 9.50 per share. The total amount of the transaction is estimated at about $ 7.4 billion, or $ 5.6 billion, excluding the payment of Sun debts.
“The Sun acquisition transforms the IT industry by combining best-in-class enterprise software and mission-critical computing systems,” said Oracle executive director Larry Ellison.
There are long-term strategic benefits for Oracle, subject to the purchase of Sun — two key Sun technologies: Java and Solaris. Java is one of the most well-known brands in the computer industry and one of the most widely used technologies. Oracle can provide continued innovation and investment in Java technology for the benefit of customers and the Java community based on Oracle Fusion Middleware.
Sun Solaris is the main platform for Oracle databases. With the acquisition of Sun, Oracle can optimize databases for some of the unique high-tech features of Solaris. Oracle will continue to support Linux and other open platforms.

Our largest customers asked us to take a step towards reducing the complexity, risk and cost of delivering highly optimized standardized products, ”said Oracle President Charles Phillips. “This transaction will allow us to preserve and expand the investments made by our clients.”
Sun Microsystems Board of Directors unanimously approved the deal. It is supposed to complete it this summer, subject to approval by Sun shareholders.
