Foreign companies will be excluded from the ownership of Russian assets of Mail.ru Group

Mail.ru is reorganizing its business. The company combines "subsidiary" assets in Russia. The ownership structure of Russian assets will also change - foreign companies will be excluded from it.

“The changes are connected with the consolidation of the group and the simplification of its structure,” the Mail.ru press service told Interfax.

In September LLC Internet Company Mail.ru became the owner of 100% LLC Mail.ru. Previously, it belonged to the Cyprus MGL Mail.ru Equity Ltd. Internet Company Mail.ru also fully owns Mail.ru Geyms LLC and Odnoklassniki LLC. The last two assets will be attached to Mail.ru. Also in September, the owner of the Internet Company Mail.ru itself changed - instead of Mail.ru Group ltd. they became the Cyprus MGL Mail.ru. Equity Ltd.

Earlier, in July of this year, VKontakte LLC got rid of foreign owners - Mail.ru Group ltd. (50.07%) and Cypriot VK.Com Holdings (49.93%). Their place was taken by Mail.ru and Internet Company Mail.ru, respectively. The VKontakte social network has been 100% owned by Mail.ru structures since last fall. Currently, the "daughters" of Mail.ru are also the non-profit organization Dengi.Mail.ru and Mail.ru Technologies.

The parent company of the holding is Mail.ru Group ltd. - registered in the Virgin Islands. Its American depositary receipts ( ADR ) are traded on the London Stock Exchange, the share of free float ( free float ) is 49.8%.

The registered capital of Mail.ru consists of 11,500,000. 100 Class A shares (with 25 votes, not traded on the stock exchange) and 208 million 582 thousand 82 ordinary shares (one vote, traded on the stock exchange).

The main shareholder of Mail.ru is the holding of Alisher Usmanov and his USM partners. He owns 15.2% of the capital and 58% of the vote. The South African media company Naspers holds 27.55% of the capital and 12.2% of the vote. Mail.ru's third largest shareholder is Tencent , a Chinese Internet company, which owns 7.37% of the capital and 3.27% of the vote. Dmitry Grishin, the CEO and Chairman of Mail.ru Board of Directors, owns 1.84% of capital and 0.82% of votes.

Neither Mail.ru nor USM does not comment on whether the restructuring of the assets of the Internet holding is related to de-offshore.

Mail.ru Group owns 100% of the Internet resource Mail.ru and 100% of the instant messaging service ICQ . The company also fully controls the social networks VKontakte , Odnoklassniki and the online portal Headhunter .

Revenue Mail.ru Group Ltd. in the third quarter of 2015 amounted to 9.5 billion rubles. The company showed an increase of 13.1% yoy. The difficult economic and geopolitical situation adversely affected the market situation in the third quarter of 2015. However, in the advertising market, Mail.ru Group has already been “stabilizing” for two quarters, wrote
"Kommersant" with reference to the message of Dmitry Grishin. Advertising revenue Mail.ru Group grew by 26.7%, to 3.7 billion rubles. “Targeted advertising, especially mobile advertising and advertising in the social network VKontakte, showed steady growth, including by increasing the number of advertisers and users,” he explained.
