Megafon plans to buy Gars Telecom operator to strengthen positions in the corporate segment

Megafon plans to buy out 100% of shares of Gars Telecom . Now the deal is at the negotiation stage. If the transaction takes place, Megafon will be able to expand its influence in the corporate services segment of the telecommunications market.

Gars Telecom operates in Moscow and St. Petersburg. He specializes in communications services for business centers. The company is also engaged in consulting, outsourcing telecommunications services and infrastructure. Since 2003, Gars Telecom switched to the model of a virtual mobile operator, providing services not directly, but through VimpelCom and MegaFon networks.

The company's annual income from fixed, mobile and IP telephony services amounted to 476.4 million rubles. This is 35.5% of all incomes of Gars Telecom. The total revenue of the operator for 2014 (RAS) amounted to 1.3 billion rubles. In 2013, it amounted to 896 million rubles, according to SPARK-Interfax .

The cost of telecommunications companies (including debt) usually exceeds the annual EBITDA by 6–8 times, and the EBITDA margin of fixed-line operators is about 30%. Gars Telecom can be roughly estimated at 2.5–3 billion rubles, including debt, says Sergei Libin, an analyst at Raiffeisenbank.

Gars Telecom is an interesting asset, but in the context of the upcoming entry into the Moscow Tele2 cellular market, when the Big Three invests in network development and retail, MegaFon’s intention to strengthen its position in the fixed-line market looks illogical, commented CNews director analytical agency "Rustelecom" Yuri Bryukvin.

The fact that at the height of the crisis, Megafon was thinking about buying an operator working with corporate clients, instead of focusing on building 4G mobile networks, says that the corporate segment continues to grow and generate stable profits, says analyst iKS-Consulting Maxim Savvatin.

“Megaphone” later than other cellular operators of the big three entered the market of services for corporations and its position here is weaker. Others may follow this deal - operators specializing in services for corporate clients remain in the regions, Savvatin adds.

In 2014, MegaFon's revenue from corporate customer service increased by 14.2%, Vlad Wolfson, director of corporate business development, told Vedomosti. According to Wolfson, MegaFon’s customers are 30% of all Russian companies.
